Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and LogicIgniter LLC, a Wyoming limited liability company (“LogicIgniter,” “we,” “us”), governing your use of Rougelioand rougelio.com (the “Service”). By creating an account, accessing a review link, or otherwise using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

Our Privacy Policy explains how we handle personal information and is incorporated into these Terms by reference.

1. Who can use the Service

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company or organization, you confirm you have authority to bind it, and “you” includes that organization.

There are two ways people use Rougelio:

  • Users create an account to manage projects and collect feedback.
  • Reviewersare invited by a User — usually through a review link — to view work and leave feedback, and may use the Service without an account. These Terms apply to Reviewers’ use as well, including the rules on acceptable use and content below.

2. The Service and its current beta status

Rougelio helps freelancers and agencies share work, collect client feedback, and manage approvals.

The Service is currently offered as a beta. That means it is still evolving: features may change, be added, or be removed, and occasional interruptions or errors may occur. We provide the Service “as is” during this period (see Section 10).

3. Your account

You are responsible for your account, for keeping your credentials secure, and for all activity that happens under it. Notify us promptly at support@rougelio.com if you suspect unauthorized access. As a User, you are also responsible for the people you invite as Reviewers and for ensuring your use of the Service complies with these Terms.

4. Your content and the rights you give us

“Your Content” means anything you or your Reviewers submit through the Service — work you upload for review, feedback, comments, screenshots, and similar material.

  • You keep ownership.You (or your Reviewers, or your clients) retain all rights to Your Content. We don’t claim ownership of it.
  • You give us a limited license to run the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit Your Content solely to operate and provide the Service to you. This license ends when you delete the content or close your account, except for residual copies kept briefly in backups or as required by law.
  • You are responsible for the rights to Your Content. You represent that you have the necessary rights to submit Your Content and that it does not infringe anyone’s rights or break any law. If you upload a client’s work or invite a client to upload material, you confirm you are permitted to do so.

5. Acceptable use

You agree not to use the Service to:

  • upload or share content that is unlawful, infringing, defamatory, or that you don’t have the right to share;
  • harass, abuse, or harm others;
  • upload malware or attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • circumvent, disable, or probe security features, or exceed rate limits through automated means;
  • reverse engineer, scrape, or resell the Service except as the law expressly permits;
  • impersonate others or misrepresent your affiliation; or
  • use the Service in a way that disrupts it or burdens our infrastructure unreasonably.

We may remove content or suspend access that we reasonably believe violates these rules.

6. Our intellectual property

The Service itself — the Rougelio software, design, brand, name, and all related intellectual property — belongs to LogicIgniter or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not use our name or branding without permission, and nothing in these Terms transfers any of our intellectual property to you.

7. Copyright and content takedown

We respect intellectual property rights. If you believe content on the Service infringes your copyright or other rights, email support@rougelio.com with: a description of the work, the location of the content on the Service, your contact details, and a statement that you believe the use is unauthorized. We will review and remove infringing content where appropriate, and may suspend accounts of repeat infringers.

8. Fees

The Service is free to use during the beta period. We may introduce paid plans in the future; if we do, we will publish pricing and any additional billing terms, and paid features will be governed by those terms in addition to these. We will not start charging you for something that is currently free without notice and your agreement.

9. Suspension and termination

You may stop using the Service at any time and delete your account. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or use the Service in a way that harms others or our infrastructure. Where practical and lawful, we will give you notice. On termination, your right to use the Service ends, and we will delete your content as described in our Privacy Policy, except where retention is required by law. Sections that by their nature should survive termination (such as content rights you’ve represented, disclaimers, limitation of liability, and governing law) will survive.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. This is especially true during the beta period. You use the Service at your own discretion and risk.

Rougelio is a tool, not a party to your client relationships. It helps you collect feedback, manage revisions, and record approvals. It is not a substitute for your own contracts, legal advice, or professional judgment, and it does not make us a party to any agreement between you and your clients or Reviewers. Approval records, change summaries, scope indicators, and similar outputs are provided for your convenience only — they are not legal advice, do not constitute a binding contract on their own, and are not a guarantee of payment or of how a dispute will be resolved. You remain solely responsible for your commercial and legal arrangements with your clients.

11. Limitation of liability

To the maximum extent permitted by law:

  • We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service.
  • Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) USD 100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless LogicIgniter from claims, damages, and reasonable expenses arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right. We will give you reasonable notice of any such claim.

13. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction — unless mandatory law in your country of residence requires otherwise. We encourage you to contact us first at support@rougelio.com so we can try to resolve any issue informally.

14. General

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and replace any prior agreements on that subject. If any provision is found to be unenforceable, the remaining provisions stay in effect, and the unenforceable provision will be applied only to the minimum extent necessary. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign or transfer these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
